Striim for ClickHouse Addendum

This Striim for ClickHouse Addendum (“Addendum”) supplements and forms part of the Striim Terms of Service Agreement available at www.striim.com/msa (the “Terms of Service Agreement”) and applies to Customer’s access to and use of the Striim for ClickHouse Service (“Striim for ClickHouse”). Capitalized terms not defined in this Addendum have the meanings given to them in the Terms of Service Agreement. In the event of a conflict between this Addendum and the Terms of Service Agreement with respect to Striim for ClickHouse, this Addendum will control.

1. Definitions

For purposes of this Addendum:

Account: As defined in Striim’s Terms of Service Agreement.

“Adapter” An adapter is a component that connects the Service to a Source or Target. Which adapter is selected determines which properties must be specified for the applicable Source or Target.

“AI Agent” An AI Agent is a component that applies Artificial Intelligence (AI) models and techniques to analyze, transform, enrich or otherwise process data.

“Billing Period” A calendar month beginning at 00:00:00 UTC on the first day of the month and ending immediately before 00:00:00 UTC on the first day of the next month.

“Compute” means the cloud infrastructure compute resources used by Customer in connection with Striim for ClickHouse.

“Event” A set of one or more data elements acquired from a Source or output to a Target that corresponds to a Striim event type. Examples include a database change record, database table row, file record, JSON object, MongoDB document, or message.

“Plan” means one of the Striim for ClickHouse subscription plans made available by Striim from time to time and specifies the applicable rates for Events and Compute.

“Source” means the start point of a flow and, in most cases, defines how data is acquired from an external data source. The start point of a flow may also be an in-memory or persistent data stream.

“Target” means the ClickHouse environment to which data is delivered through Striim for ClickHouse.

2. Subscription, Fees and Payment

Customer must select a Plan to begin a free trial of Striim for ClickHouse. To continue using Striim for Clickhouse after the free trial, Customer must purchase a paid subscription to Striim for ClickHouse by completing Striim’s online checkout process, including providing a valid payment method, which constitutes an Order Form under the Terms of Service Agreement.

Customer represents and warrants that it is authorized to use the payment method provided during checkout, will maintain a valid payment method during the Subscription Term, and authorizes Striim and its third-party payment processors to charge such payment method for Fees payable for Striim for ClickHouse under the Terms of Service Agreement.

For Striim for ClickHouse, the Initial Subscription Term will begin upon expiration of Customer’s applicable free trial, if any, or, if later, on the date Customer completes Striim’s online checkout process for the paid subscription, and will continue through the end of the calendar month in which the Initial Subscription Term begins. Thereafter, the Subscription Term will automatically renew for successive one-month periods corresponding to each calendar month unless terminated in accordance with Section 2 below or otherwise terminated in accordance with the Terms of Service Agreement.

Striim for ClickHouse usage-based pricing includes charges for Events and Compute. Customer’s usage will be measured each Billing Period based on (i) the number of Events acquired from Sources or output to the Target and (ii) the Compute used by Customer. Customer’s usage of Events and Compute will be determined based on Striim’s usage records. Customer will be charged for Events and Compute at the then-prevailing rates for Customer’s selected Plan. Customer may change its Plan through its Account. Any Plan change will take effect immediately. Fees will be calculated based on the Plan in effect when the applicable usage occurs. . If the Plan changes during a Billing Period, the monthly invoice will separately itemize the charges incurred under each Plan.

All Fees are stated and payable in U.S. dollars and are exclusive of applicable Taxes, which may be charged to Customer in accordance with the Terms of Service Agreement. Customer will be billed monthly in arrears for Fees incurred during the applicable Billing Period. Customer’s payment method will be charged on or about the fifth (5th) day of each calendar month for Fees incurred during the preceding Billing Period; provided that Striim may bill and charge Customer more frequently for Fees accrued if Striim believes there is a risk of non-payment or that Customer’s Account may be fraudulent.

If Customer’s payment method cannot be charged, Striim may immediately suspend Customer’s access to Striim for ClickHouse.

Plans and Rates

The following rates apply to direct and AWS Marketplace subscriptions unless a different rate is stated in the applicable Order Form, online checkout, or AWS Marketplace listing.

* Pricing for private connectivity will be determined at a later date. Striim will provide advance notice of the applicable rates and the date on which charging will begin.

Component Classifications

A component’s classification determines the Event rate. Actual availability depends on the Customer’s Plan, the components enabled in the Service. The supported Target Adapters are ClickHouseWriter and FileWriter.

Cancellation

Customer may cancel its Striim for ClickHouse subscription through its Account. Notwithstanding Section 6.1 of the Terms of Service Agreement, such cancellation will be effective at the end of the then-current calendar month.

Customer will retain access to Striim for ClickHouse through the effective date of cancellation. Customer remains responsible for all Fees incurred through the effective date of cancellation. Fees paid or payable prior to the effective date of termination are non-refundable and non-creditable, except as otherwise expressly provided in the Terms of Service Agreement or required by applicable law.
